Terms and Conditions General of Sale

All purchase agreements concluded through the website shop.materialeultras.it, and in accordance with the procedures set out therein, between the Seller and the Customer, shall be governed by these General Terms and Conditions.
Products purchased on shop.materialeultras.it are sold directly by Make a Difference 2.0 S.r.l., with registered office at Via Cà Treviglio no. 6, 24040 Pontirolo Nuovo (BG), Italy, Tax Code and VAT No. 04785040165.

1. Commercial Policy

  • 1.The Seller offers the purchase of products on shop.materialeultras.it and carries out its e-commerce activity towards private customers (Consumers) as well as businesses (i.e., non-consumer Customers).
  • 2. “Consumer” means any natural person acting on shop.materialeultras.it for purposes unrelated to any commercial, entrepreneurial or professional activity they may carry out.
  • 3. For the purposes of these Terms and Conditions, individuals who, during registration, expressly indicate that they are a “Professional or Company holding a VAT number” and provide their VAT number shall not be considered Consumers.
  • 4. The Seller reserves the right not to process any orders that do not comply with its commercial policy
  • 5. These General Terms and Conditions of Sale exclusively govern the offer, submission and acceptance of purchase orders for products on shop.materialeultras.it, between users of the website and the Seller. These Terms do not regulate the provision of services or sale of products by third parties other than the Seller that may appear on shop.materialeultras.it via links, banners or other hypertext connections. Before placing orders with third-party operators, Customers are advised to review their terms of sale, as the Seller assumes no liability for services or e-commerce operations carried out by third parties.

2. Conclusion of the Contract

  • 1. To conclude the purchase of one or more products, the Customer will be required to complete the electronic order form and transmit it to the Seller electronically, following the relevant instructions.
  • 2. Before proceeding with the purchase, the Customer must confirm that they have read the Privacy Policy and the General Terms and Conditions.
  • 3. The order form displayed immediately prior to the conclusion of the purchase will summarise the essential characteristics of each product ordered, the price including applicable taxes, and any additional shipping costs (with the exception of customs duties and/or import taxes).
  • 4. The contract is deemed concluded when the Seller receives the electronic order form, after verifying the correctness of the order details. The contract shall not be considered valid or effective unless the above procedure is completed.
  • 5. The order form will be stored in our database for the period necessary to process the order and in any case within the statutory time limits.
  • 6. Once the contract has been concluded, Make a Difference 2.0 S.r.l. will process the purchase order.
  • 7. By electronically transmitting the order form, the Customer accepts these General Terms and Conditions of Sale.
  • 8. Upon dispatch of the goods, the Seller will send the Customer a tracking number to the email address indicated, so that the shipment may be monitored
  • 9. The contract is fulfilled upon delivery of the purchased goods.

3. Payment Methods

  • 1. Payment for the products and related shipping costs may be made by credit card (Visa, Mastercard, Visa Electron, Verified by Visa, Mastercard SecureCode) through the PayPal portal, with payment processed via said platform.
  • 2. Under no circumstances may costs exceeding those actually incurred by the Seller in relation to the chosen payment method be charged to the Custom
  • 3. Any refund due to the purchaser will be credited promptly using the same method referenced above.

4. Price

  • 1. All product prices displayed on shop.materialeultras.it are expressed in euro and constitute a public offer pursuant to Article 1336 of the Italian Civil Code
  • 2. The Customer may purchase only those products included in the online catalogue available on shop.materialeultras.it at the time the order is submitted and visible on the website on the date of purchase, as described in the relevant product information sheets.
  • 3. Prices include VAT. Shipping costs, although not included in the purchase price, must be indicated and calculated before the order is submitted and will be shown on the order summary page. Any customs duties, import fees or taxes will be calculated by the carrier and communicated to the Customer prior to delivery.

5. Shipping and Delivery of Products

  • 1. Products will be shipped only after actual receipt of payment.
  • 2. For items available in stock, delivery to the carrier will occur within 4 working days from receipt of payment.
  • 3. For customised products, delivery to the carrier will occur within 20 working days. Should delivery not be possible within this timeframe due to force majeure or circumstances beyond the Seller’s control, the Seller will promptly notify the Customer by email, indicating a new delivery date. If delivery does not occur within the additional period agreed, the Customer shall be entitled to terminate the contract and receive a full refund, in accordance with Article 61 of the Italian Consumer Code.
  • 4. Shipments are made via express courier selected by the Seller.
  • 5. Indicative delivery times once goods are dispatched:
    • 2 / 4 working days within mainland Italy (excluding islands)
    • 5 / 6 working days for the islands (Sicily, Sardinia)
    • Variable duration for international shipments depending on the destination.
  • 6. Make a Difference 2.0 S.r.l. shall not be liable for delays attributable to the courier.
  • 7. Delays caused by the carrier do not entitle the Customer to withdraw from the purchase or claim damages.
  • 8. Upon receipt, the Customer must inspect the package. Any damage or suspected damage must be immediately reported by writing “goods accepted under reserve” on the delivery receipt.
  • 9. Only by following this procedure can the Customer benefit from the additional support service offered by Make a Difference 2.0 S.r.l. to resolve the issue.

6. Right of Withdrawal

  • 1. For products available in stock, the Customer has the right to withdraw from the contract without penalty within 14 days from receipt of the products purchased on shop.materialeultras.it.
  • 2. For customised or made-to-measure products, the right of withdrawal is excluded pursuant to Article 59(c) of the Italian Consumer Code. This does not affect the Customer’s rights under the legal warranty of conformity for defective or damaged products. Minor colour and/or size variations compared to sample images are not considered defects.
  • 3. The Consumer may exercise the right of withdrawal by sending an explicit declaration of their intention by email to ecommerce@materialeultras.it.
  • 4. Once withdrawal has been exercised, the products must be returned within 14 days, with all return shipping costs borne entirely by the Customer. The Seller may withhold the refund until receipt of the goods or proof of shipment, pursuant to Article 56(3) of the Consumer Code.
  • 5. The Customer is liable for any loss or damage to the goods during return shipment resulting from their negligence or choice of carrier/shipping method.
  • 6. The Customer is responsible for any diminished value of the goods caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the product.
  • 7. Products must be returned intact, clean, undamaged, complete with all accessories, spare parts, original packaging, manuals and any seals
  • 8. Products returned incomplete, damaged, deteriorated or soiled will not be refunded.
  • 9. After receiving the returned goods, Make a Difference 2.0 S.r.l. will verify compliance with the conditions indicated in this sectio
  • 10. If the conditions are not met, the amounts paid will not be refunded. Within 5 days of receiving the email informing them of the refusal, the Customer may request the return of the goods at their own expense. Failing such a request, the Seller may retain both the goods and the amounts paid.

7. Refund Procedures and Timing

  • 1. If the checks above are successful, the Seller will send confirmation of acceptance of the returned products to the Customer by email.
  • 2. Refunds will be issued using the same payment method used for the purchase, unless otherwise expressly agreed. If the person who paid differs from the person indicated as recipient of the goods, refunds will be made to the payer.
  • 3. Refunds will be made within 14 working days.

8. Warranty

  • 1. All products sold by Make a Difference 2.0 S.r.l., when purchased by a Consumer, are covered by a 24-month legal warranty for lack of conformity, pursuant to Article 129 of Legislative Decree 206/2005 (Consumer Code). By virtue of this guarantee, Make a Difference 2.0 s.r.l. is liable towards the consumer – a natural person acting for purposes other than business, industrial, commercial, artisanal or professional activities – for any lack of conformity existing at the time of delivery of the product, as provided for by art. 130 of Legislative Decree no. 206/2005, within a period of 24 months from the date of purchase.
  • 2. A lack of conformity exists when the product is not suitable for its intended use, does not match the description, lacks qualities or performance promised by the seller, or lacks features requested by the consumer and agreed upon by the parties—subject to the provisions applicable to personalised products.
  • 3. The warranty does not apply in cases of: (i) normal wear and tear; (ii) improper washing; (iii) damage caused by misuse (breakage, tears, stretching, etc.).
  • 4. The notification of a lack of conformity (Article 132, paragraph 1), which occurs during the validity of the legal guarantee (24 months), must be made, under penalty of forfeiture, within two months of the date of discovery (Article 132, paragraph 2). In the event of a lack of conformity, the consumer has the right to request the Seller, at his discretion and free of charge, to repair or replace the goods, unless the requested remedy is objectively impossible or excessively onerous (Article 130, paragraphs 3 and 4). The Seller will arrange, in agreement with the consumer, at its own expense, to send a courier to collect the goods to be repaired or replaced.
  • 5. Pursuant to Article 132, paragraph 3, a defect that appears within six months of purchase is presumed to have existed on the aforementioned date, and the consumer has the right to have the goods restored, free of charge, through repair or replacement (Article 130).
  • 6. To benefit from assistance, the Customer must retain the invoice (or delivery note) received with the purchased goods.

9. Information on Materials

  • 1. The Customer acknowledges and accepts that certain synthetic materials or chemical additives used in products may, in rare cases and in sensitive individuals, cause allergic reactions or skin irritation.
  • 2. Information on materials is available on product labels and on the website. In case of allergies or sensitivities, medical advice is recommended before purchase.
  • 3. The occurrence of allergic reactions does not constitute a product defect nor impose liability on the Seller; the Seller to provide clear information on the composition of the product, as required by current legislation.

10. Product Customisation

  • 1. Products may be customised by the Customer through text, images or logos uploaded in the appropriate form.
  • 2. The Customer warrants that: (i) they hold all rights to the customisations provided; (ii) such content does not infringe laws, trademarks, copyrights or third-party rights; (iii) such content is not unlawful or contrary to public policy.
  • 3. The Seller may refuse customisations that breach these terms.
  • 4. The Customer is solely responsible for errors in texts, colours, uploaded images or quantities requested. The Seller bears no liability in this regard.

11. International Sales and Shipping

  • 1. Products may be purchased and shipped both within Italy and throughout the European Union. For shipments outside the EU, any import taxes, duties or customs charges are borne by the Customer and will be indicated by the carrier prior to delivery.
  • 2. Delivery times abroad vary depending on the destination and customs procedures. The Seller is not liable for customs delays. The Customer must check applicable laws, taxes and duties in the destination country.
  • 3. The sales contract is governed by Italian law. For Consumers residing in EU countries, the mandatory provisions of their country of residence apply under Article 6 of Regulation (EC) No. 593/2008 (“Rome I”). For non-EU residents, the contract is governed by Italian law pursuant to the 1980 Rome Convention, without prejudice to mandatory consumer protection laws of the country of residence.

  • 1. Information on the processing of personal data is available in the Privacy Policy on the website.

13. Applicable Law and Dispute Resolution

  • 1. These General Terms and Conditions are governed by Italian law, including Legislative Decree 206/2005 (Consumer Code) and Legislative Decree 70/2003 on e-commerce. For all matters not expressly regulated herein, reference is made to the Italian Civil Code.
  • 2. Any dispute relating to the performance of each contract or navigation of the website shall fall under the exclusive jurisdiction of the Court of Bergamo, except where mandatory jurisdiction of the consumer’s place of residence applies.

14. Amendments and Updates

  • 1. These General Terms and Conditions may be amended from time to time due to legislative changes. Amendments shall be effective from the date of publication on shop.materialeultras.it.
